These Terms and Conditions ("Terms") constitute a legally binding agreement between Guangzhou Sourcing, hereinafter referred to as the "Company," and the entity or individual engaging the Company's procurement services, hereinafter referred to as the "Client." These Terms govern the provision of procurement services and related activities by the Company to the Client.
By engaging the Company's services, the Client acknowledges and agrees to be bound by these Terms. Please read these Terms carefully before entering into an agreement with the Company. If you do not agree with these Terms, please refrain from using our services.
1. Services Offered
1.1 The Company specializes in procurement services, which may include, but are not limited to, sourcing, purchasing, quality control, logistics coordination, and supplier management. The specific services provided to the Client will be outlined in a separate agreement or proposal.
1.2 The Company will make reasonable efforts to fulfill the Client's procurement needs in accordance with the agreed-upon scope of work.
2. Engagement and Fees
2.1 The Client agrees to engage the Company for procurement services by signing a separate agreement or proposal, which will outline the scope of work, fees, payment terms, and any other relevant terms and conditions.
2.2 The Client agrees to pay the Company the fees specified in the agreement or proposal for the services rendered. Payment terms, including due dates and methods of payment, will be as specified in the agreement or proposal.
2.3 In the event of additional services requested by the Client that are outside the scope of the original agreement, the Company may charge additional fees, subject to mutual agreement.
3. Responsibilities of the Client
3.1 The Client will provide the Company with all necessary information, specifications, and requirements related to the procurement project in a timely manner.
3.2 The Client will cooperate with the Company in the procurement process, including but not limited to supplier selection, quality control procedures, and logistics coordination.
3.3 The Client is responsible for all costs associated with the procurement project, including the cost of goods, shipping, import duties, taxes, and any additional expenses outlined in the agreement or proposal.
4. Responsibilities of the Company
4.1 The Company will use its best efforts to source and procure the goods or services specified in the agreement or proposal.
4.2 The Company will conduct quality control inspections as agreed upon in the scope of work to ensure that the procured goods meet the specified standards and requirements.
4.3 The Company will coordinate logistics and shipping as specified in the agreement or proposal.
4.4 The Company will maintain confidentiality regarding the Client's business and procurement activities.
5. Quality Assurance
5.1 The Company will make reasonable efforts to ensure that the procured goods or services meet the specified quality standards. However, the Company does not provide any warranties or guarantees regarding the quality or fitness for a particular purpose of the procured goods or services.
6. Liability
6.1 The Company shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in any way connected with the procurement services, including but not limited to loss of profits, loss of data, or interruption of business operations.
6.2 The Company's liability, if any, shall be limited to the fees paid by the Client for the specific procurement project that gave rise to the claim.
7. Termination
7.1 Either party may terminate the engagement for procurement services by providing written notice to the other party in accordance with the termination provisions specified in the agreement or proposal.
7.2 In the event of termination, the Client shall be responsible for any fees or costs incurred by the Company up to the date of termination.
8. Confidentiality
8.1 Both parties agree to maintain the confidentiality of all information exchanged during the engagement, including but not limited to business strategies, supplier information, and procurement details.
9. Governing Law and Jurisdiction
9.1 These Terms and the engagement between the Company and the Client shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles.
9.2 Any disputes arising out of or in connection with these Terms or the engagement shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
10. Entire Agreement
10.1 These Terms, together with any separate agreement or proposal signed by both parties, constitute the entire agreement between the Company and the Client with respect to the provision of procurement services and supersede all prior agreements and understandings, whether oral or written.
By engaging the Company's procurement services, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions.
